The supermarket’s US parent company Walmart said that Clarke had “decided the timing is right to step aside from his role with the company”.
Walmart praised the ceo’s key contribution to the firm’s UK success, in what it described as “one of the world’s most competitive retail markets”.
The retailer said in a statement: “Andy and his leadership team have played a key role in several innovations in the marketplace, such as grocery home delivery and pickup. He has also served as a strong leader for the business during a time of increased competition and heightened customer expectations.”
Clarke will stay with the supermarket until the end of next month and will serve as an adviser for the rest of this year.
He will also retain his current role as Asda’s representative as president of the grocery think-tank IGD.

Asda chief executive Andy Clarke to step down
Asda chief executive Andy Clarke is to step down after more than 20 years at the UK supermarket chain, in a management shake up designed to wrestle back market share from discounters Aldi and Lidl.
On Monday, Asda’s parent company – US retail giant Walmart – announced that Mr Clarke would give up the role at the end of July. Mr Clarke said “the timing was right” for him to move on.
Sean Clarke, currently president and chief executive of Walmart China, will take over the top job at Asda.
Walmart also said that Roger Burnley will be named the deputy chief executive of Asda, and the UK chain's chief operating officer, when he joins the company from Sainsbury's in October.

Mr Clarke joined Asda in 1992 as a store manager, and was appointed chief executive in 2007. He had long been expected to vacate Asda’s top post in the coming years – but Monday’s announcement of his replacement came as a surprise to many.

Asda owner Walmart has said the UK supermarket's chief executive, Andy Clarke, is stepping down to be replaced by the head of Walmart's kinesisk business, Sean Clarke.
Walmart said Sean Clarke's experience would allow him to "reposition the business" in a competitive market.
Sean Clarke started his retail career at Asda in 2001 and has also worked for Walmart in Japan and Canada.
Asda has now reported seven straight quarters of declining sales.
The appointment comes as a surprise after Andy Clarke said gods week in an interview that he would be succeeded bygd Roger Burnley, who fryst vatten joining Asda from Sainsbury's.
Mr Burnley has been named as Asda's deputy ledare executive and chief operating officer.
David Cheesewright, president and chief executive of Walmart International, said Mr Burnley was "a top talent and a future CEO".
